                                                                                                     Arbitration Clause

According to Act No. 216/1994 Coll., as amended, the Parties agree that all their disputes following from or connected with this Contract shall be resolved according to Czech laws in arbitration proceedings by a sole arbitrator according to the Rules of Procedure for Arbitration Proceedings issued by Rozhodčí Servise při Hospodářské komoře Brno-venkov, a.s. Company Identification No.: 28283716 (hereinafter referred to as the "Service") and published at the website: www.rozhodci.servis.ohkbv.cz. The Contracting Parties hereby authorize the Service to appoint the arbitration and in the same time, they authorize the arbitrator to decide all disputes according to the equity principles. The Contracting Parties expressly declare they are familiar with the Rules of Procedure for Arbitration Proceedings as well as the Decree on Costs of Arbitration Proceedings and hence they consider these documents an integral part of this arbitration agreement.
